Welcome to PRAMILIA BizStart. These Terms of Service ("Terms") govern your use of our company incorporation platform and related services operated by PRAMILIA Private Limited ("PRAMILIA", "we", "us", or "our").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

PRAMILIA BizStart provides an online platform for company incorporation in India. Our services include:

  • Company name search and reservation
  • SPICe+ form preparation and filing
  • Memorandum of Association (MoA) and Articles of Association (AoA) drafting
  • Digital Signature Certificate (DSC) arrangement
  • PAN and TAN application
  • AGILE-PRO-S linked registrations (GST, EPFO, ESIC)
  • Post-incorporation compliance guidance

2. Eligibility

Our services are available to individuals who are at least 18 years of age and legally competent to enter into binding agreements under Indian law. By using our services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Fees and Payment

4.1 Service Fees

Our service fees are as stated on the pricing page at the time of your application. Government fees (MCA filing fees, stamp duty, PAN/TAN fees) are additional and vary based on entity type, state, and authorised capital.

4.2 Payment Terms

Service fees are payable in full before we begin processing your application. Government fees are collected as part of the total quoted amount and remitted to the appropriate authorities on your behalf.

4.3 Refund Policy

If we are unable to complete your incorporation due to reasons within our control, we will provide a full refund of our service fee. If incorporation is rejected by MCA due to issues in your application data, we will work to resolve the issue at no additional charge. Refund requests should be submitted within 30 days of the relevant event.

5. Your Responsibilities

You agree to:

  • Provide accurate, truthful, and complete information for all forms and filings
  • Promptly upload all required documents in the specified format
  • Respond to our queries and review requests within reasonable timeframes
  • Verify the accuracy of all information before we submit filings to MCA
  • Comply with all applicable laws and regulations

6. Processing Times

We aim to file your application within 7 business days of receiving complete documents (Standard and Pro plans). MCA processing times are beyond our control and typically take 3-5 additional business days. We do not guarantee specific incorporation dates.

7. Intellectual Property

The PRAMILIA BizStart platform, including its design, code, content, and trademarks, is the intellectual property of PRAMILIA Private Limited. You may not reproduce, distribute, or create derivative works without our written consent.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the service fees you paid for the specific application
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for MCA processing delays or rejections due to government policy changes
  • We do not guarantee the accuracy of government fee estimates displayed on our platform

9. Indemnification

You agree to indemnify and hold PRAMILIA harmless from any claims, losses, or damages arising from your use of our services, including claims resulting from inaccurate information you provided.

10. Termination

We may suspend or terminate your access to our services if you violate these Terms or engage in fraudulent activity. You may terminate your account at any time by contacting us, subject to completion of any pending applications.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of our services after changes become effective constitutes acceptance of the updated Terms.
